Pursuant to section 3.59 of the LuSE Listing Requirements, the Board of Directors of Copperbelt Energy Corporation PLC (“CEC” or the “Company”) wishes to announce the retirement of Mrs. Julia Chaila from her role as Company Secretary of the CEC Board, effective 31st August 2026. Further, the Board would like to announce the appointment of Mrs. Chanda Kasanda-Magubbwi as the Company Secretary to the Board, effective 26th August 2026.

Mrs. Magubbwi is a seasoned legal and governance professional with over 18 years of experience spanning the financial services sector and commercial legal private practice. She has held senior leadership positions including Head of Legal, Company Secretary, Principal Legal Counsel and Head Governance, providing strategic legal and governance counsel to boards and executive management. Her experience encompasses legal and governance risk management, regulatory compliance relating to corporate governance, and providing legal support to multi-jurisdictional operations within Africa. Before joining CEC, Mrs. Magubbwi served as Head Governance and Company Secretary at Stanbic Bank Zambia Limited.

She holds a Master of Laws degree (LLM) from the University of California, Berkeley, and a Bachelor of Laws degree (LLB) from the University of Zambia. She is an Advocate of the Supreme Court of Zambia and an Associate Member of the Chartered Governance Institute of the United Kingdom and Ireland.

The Board expresses its sincere appreciation to Mrs. Julia Chaila for her valuable service and contribution to the business during her tenure as Company Secretary. Her professionalism, sound counsel and commitment to good corporate governance have contributed meaningfully to the effective functioning of the Board and the continued strengthening of the Company’s governance framework. The Board further congratulates Mrs. Magubbwi on her appointment.
